Audax Investment Criteria:

Audax Private Equity invests over $2.4 billion of equity capital in control acquisitions of small cap and lower-middle market companies across a wide range of industries. We look to acquire companies in which sound strategy and superior execution can enhance revenue and cash flow and create equity value. These companies generally have some or all of the following characteristics: the potential to achieve scale through add-on acquisitions, the potential and/or need for global presence, the need for operational improvement, the need to supplement the existing management team, and the need for strategic refinement or redirection.

The Deal:

Audax, together with Astrodyne Corporation ("Astrodyne"), acquired RO Associates from Emrise Corporation (ARCA:ERI). Boenning & Scattergood, Inc. advised Emrise.

The Company: RO Associates, Incorporated ("RO Associates"), based in San Jose, California, is a manufacturer of AC/DC and DC/DC converters and accessories used in military, industrial, and other harsh-environment applications. Located in Silicon Valley, RO Associates serves customers world-wide through a network of channel sales partners.

Audax acquired Astrodyne as a niche manufacturer and distributor in a fragmented market with a diverse customer base, reputation for superior customer support, and a broad product portfolio. The acquisition of RO Associates further diversifies Astrodyne's existing capabilities and end-markets by expanding its product offering to serve the military & aerospace end-markets. Audax will continue to work with management to execute a growth strategy focused on new product introductions, expanding its geographic footprint, and strategic add-on acquisitions.
