Subject: Aggressively Seeking Add-Ons
February 9, 2009
Dear Dennis:
We are aggressively seeking add-on acquisitions to strengthen and enhance our global stable of 68 portfolio companies. The attached list of portfolio companies outlines strategic acquisition priorities for 2009. We invest in growing companies that generally have EBITDA of up to $15 million, and its add-ons can exceed the value of the original platform company. We are remaining active in this challenging environment thanks to a consistent buy-and-build strategy and more than $2.7 billion in assets under management. We are one of the most active investment firms in the world, completing 31 investments in 2008. We invite you to seize this tremendous opportunity to partner with us to build bigger and better companies.
The attached flyer details 10 companies for which we are seeking add-ons. Please contact us to explore opportunities.
Regards,

Strategic acquisition priorities (targets):
1) Manufacturers of patent-protected geothermal pump systems with residential, commercial and industrial applications.
2) Businesses involving training or education, particularly non-title IV schools that license or certify students in fields such as Microsoft applications and home inspection licensing.
3) Companies that make consumable, single-use products used in diagnostic imaging applications.
4) Providers of long-term care/elder care/dementia training; online training resources; and mandated and credentialed HR training.
5) Manufacturers or distributors of industrial specialty chemicals used in water treatment, surface finishing and cleaning applications, applying "green technologies" where applicable.
6) Franchisors in North America and Europe providing home services such as pest control, painting, moving and cleaning services. Outside-the-home franchise concepts would also be welcomed.
7) Companies that manufacture or source OSHA certified industrial safety products used in manufacturing and distribution facilities.
8) Companies with complementary interconnect, specialized cable, rugged communications, microwave, data conversion or wireless, product lines. Ideal candidates will have a strong brand and allow us to leverage its overseas manufacturing or sales and marketing expertise.
9) Companies focused on fabrics for commercial interiors, as well as those that would expand into other markets like refurbishment. An international footprint is important, ideally with strong ties to Asia or Europe.
10) Career-oriented and regulatory-driven training companies using an online delivery platform.
